Clipper terms

This is a courtesy translation. In case of any discrepancy, the Italian version prevails and the agreement is governed by Italian law.
1 — Definitions
Klip Flix is the platform operated by Blaster Foundry S.r.l. A Clipper creates and publishes clips; a Brand commissions a Campaign; the Brief sets source material, rules, rate, duration and platforms; Verified views are views accepted after checks.
2 — Independent relationship
Blaster Foundry acts as an intermediary. Participation creates no employment, agency or exclusivity relationship. Clippers choose whether and when to join campaigns.
3 — Eligibility
Clippers must be at least 18, control connected social profiles, provide accurate identity and tax data, and not have been excluded for prior breaches.
4 — Joining campaigns
Joining means accepting the Brief, which supplements these terms and governs campaign-specific matters where they differ.
5 — Source-material licence
The Brand grants a non-exclusive, non-transferable, revocable licence limited to the campaign, solely to create and publish compliant clips.
6 — Creating and publishing clips
Follow the Brief and Content guidelines, disclose promotional content under platform rules and applicable Italian advertising standards, comply with platform terms and do not alter a submitted clip into a non-compliant version.
7 — Submission and review
Submit the public post link through Klip Flix. A clip may be rejected for breaching the Brief, inadequate disclosure, prohibited content, poor technical quality or suspected fraud. A reasoned review request may be made within two days.
8 — Verified views and fraud
Payouts are based only on verified views. Purchased traffic, bots, account networks, view exchanges and other artificial activity are prohibited. We may cancel affected earnings, suspend or remove the clipper and withhold unpaid fraudulent earnings as allowed by law.
9 — Payout rate
Each Brief states a rate in euros per 1,000 verified views, never below €0.50 per 1,000 views. Klip Flix’s fee is paid by the Brand and is not deducted from the stated clipper rate, apart from legally required tax withholding.
Earnings stop when the campaign closes or its budget pool is exhausted. There is no guaranteed minimum or fixed fee for publishing.
10 — Payments
Recorded earnings have a 30-day holding period. Once at least €50 is available, the Clipper may request a bank-transfer withdrawal after tax details and the required invoice or occasional-work receipt are received.
11 — Tax matters for Italian residents
The Clipper is responsible for their tax and social-security obligations.
Italian VAT holders invoice Blaster Foundry and receive the gross amount without withholding tax.
Italian occasional workers are subject to 20% withholding tax and receive an annual tax certificate where required. They must monitor the relevant €5,000 annual social-security threshold.
11A — Clippers not resident in Italy
A Clipper tax-resident outside Italy must provide a valid VAT number or equivalent business tax identifier in their country of residence.
The Clipper issues an invoice from their country to Blaster Foundry. Klip Flix carries out self-billing as required by Italian law.
No Italian withholding tax applies and no Italian annual tax certificate is issued. Gross and net payment amounts are therefore equal, while the Clipper remains responsible for obligations in their country.
A non-resident Clipper cannot be paid without a valid VAT number. Earnings remain in the balance until valid details are provided.
12 — Rights in clips
The Clipper retains rights in their creative contribution, subject to the Brand’s source-material rights, and grants Klip Flix and the Brand a worldwide, non-exclusive, royalty-free five-year licence for campaign reporting and promotion.
The Clipper must have rights to any music, graphics, text or images they add.
13 — Confidentiality
Keep non-public campaign and Brand information confidential, including unreleased source material.
14 — Suspension and closure
A Clipper may delete their account. Verified earnings remain payable except where fraud rules apply. We may suspend or close accounts for serious breaches of these terms, a Brief or the Content guidelines.
15 — Liability and indemnity
Clippers are responsible for content on their profiles and indemnify Blaster Foundry against third-party claims caused by their breach. Our liability is limited as permitted by Italian law.
16 — Personal data
Clipper data is handled under the privacy notice shown during registration.
17 — Changes
We may amend these terms with at least 15 days’ notice. Changes do not apply to campaigns already in progress.
18 — Governing law and jurisdiction
Italian law applies and the Court of Catania has exclusive jurisdiction. The Italian version prevails, including for clippers resident outside Italy.
19 — Specific approval
Under Articles 1341 and 1342 of the Italian Civil Code, the Clipper specifically approves clauses 7, 8, 9, 12, 14, 15, 17 and 18.
